Terms of Service

§ 1.Definitions

As used in these Terms:

• Service— the Tradex web application available at tradexapp.tech and its subdomains
• Provider— Michał Chełmża, operator of Tradex
• User— any individual who has created an account and entered into an agreement for electronic services with the Provider
• Consumer— a User who is a natural person acting for purposes outside their trade, business, or profession
• Account— a password-protected collection of data and resources belonging to a User in the Service
• Free Plan— the no-cost tier of the Service with limitations as described in § 5.1
• TradexPro— the paid monthly subscription providing access to the full feature set of the Service
• Subscription— the recurring monthly paid service granting access to TradexPro with automatic renewal
• Stripe— the third-party payment processor: Stripe Payments Europe, Limited (Ireland) or Stripe, Inc. (USA)

§ 2.Service Provider

§ 3.Technical Requirements

To use the Service you need:

• A device with internet access and a current browser (Chrome ≥ 90, Firefox ≥ 88, Safari ≥ 14, Edge ≥ 90)
• An active email address for registration
• Technically necessary cookies enabled (session cookies)

§ 4.Registration and Account

1. Using the Service requires registration and creation of an Account.
2. Registration is available only to individuals who are at least 18 years old. By creating an Account, you confirm that you meet this requirement.
3. Registration is possible via: (a) email address and password, or (b) Google account (OAuth 2.0).
4. You are required to provide accurate information and keep it up to date.
5. One account may be used by one natural person only. Creating accounts on behalf of third parties without their authorisation is prohibited.
6. You are fully responsible for maintaining the confidentiality of your password. If you suspect unauthorised access to your Account, change your password immediately and notify the Provider.
7. The agreement for electronic services is concluded upon successful completion of the registration process.

§ 5.Service Plans

§ 6.TradexPro Subscription & Payments

1. Price: TradexPro costs 49 PLN (incl. VAT) per month. The price includes applicable taxes.
2. Automatic renewal: The Subscription renews automatically every 30 days from the purchase date until cancelled by the User. Payment is charged in advance for the next billing period.
3. Payment processor: Payments are handled by Stripe. Card data is processed solely by Stripe — the Provider has no access to full card details.
4. Subscription management portal: You can manage your Subscription (cancellation, payment method changes) via the Stripe billing portal, accessible directly from within the app.
5. Cancellation: You may cancel your Subscription at any time. After cancellation, access to TradexPro remains active until the end of the paid billing period, after which your account automatically reverts to the Free Plan.
6. Price changes: The Provider may change the Subscription price. Changes do not affect the current billing period. You will be notified of new pricing at least 14 days before the next renewal. Failure to cancel after receiving notice constitutes acceptance of the new price.
7. Taxes: Business users are responsible for correctly accounting for taxes in accordance with the laws of their country of residence.

§ 7.Right of Withdrawal

1. EU Consumers have the right to withdraw from a distance contract within 14 days of conclusion without giving reasons and without incurring costs.
2. The right of withdrawal does not apply where the service has been fully performed with the express consent of the Consumer, who acknowledged the loss of the right of withdrawal prior to the performance commencing. Activation of TradexPro constitutes such express consent.
3. To exercise the right of withdrawal (before service activation), you must inform the Provider of your decision by an unequivocal statement sent to: michalchelmza@gmail.com.
4. In the event of a valid withdrawal, the Provider shall refund all payments received no later than 14 days from receipt of the withdrawal statement, subject to paragraph 2 above.
5. This section does not limit the User's right to cancel a Subscription as described in § 6(5).

§ 8.Complaints

1. You may submit a complaint regarding the operation of the Service or the services provided.
2. Send complaints to: michalchelmza@gmail.com, including: your name or username, the email address of your account, a description of the issue, and the date it occurred.
3. Complaints will be resolved within 14 days of receipt. The Provider will inform you of the outcome by email.
4. If a complaint is not upheld, the Provider will explain the reasons for the decision.
5. EU Consumers may use out-of-court dispute resolution mechanisms, including the European Commission's ODR platform at: ec.europa.eu/consumers/odr.

§ 9.Limitation of Liability

1. The Provider aims to maintain continuous Service availability but does not guarantee uninterrupted access. Planned maintenance will be announced in advance.
2. The Provider maintains regular backups but is not liable for data loss resulting from factors outside its control (third-party infrastructure failure, force majeure).
3. To the maximum extent permitted by applicable law, the Provider's liability to non-Consumer Users is limited to the total fees paid for the Subscription in the preceding 12 months.
4. The limitations in paragraph 3 do not apply to Consumers to the extent they would conflict with mandatory applicable law.

§ 10.Intellectual Property

1. All intellectual property rights in the Service — including source code, user interface, graphics, logos, and the name "Tradex" — belong to the Provider or its licensors.
2. You are granted a limited, non-exclusive, non-transferable licence to use the Service solely in accordance with these Terms.
3. Trading data you enter into the Service remains your property. You grant the Provider a royalty-free, non-exclusive licence to store and process that data solely for the purpose of providing the Service.
4. You may not copy, distribute, modify, decompile, or create derivative works based on the Service without prior written consent from the Provider.

§ 11.Prohibited Activities

You may not:

1. Use the Service in a way that violates applicable laws or the rights of third parties
2. Introduce malware, viruses, or attempt unauthorised access to information systems
3. Scrape or mass-export data from the Service using automated means
4. Resell, sublicense, or commercially share access to the Service with third parties
5. Impersonate other users, the Provider, or any other person or entity
6. Use the Service if you are under 18 years of age
7. Provide false or misleading information during registration or while using the Service

Violation of these prohibitions may result in immediate suspension or deletion of your Account in accordance with § 12.

§ 12.Termination and Account Deletion

1. You may delete your Account at any time from the app settings or by sending a request to michalchelmza@gmail.com. Account deletion is irreversible.
2. Before deleting your account, Users with an active Subscription should cancel it first in accordance with § 6(5).
3. The Provider may terminate the agreement (suspend or delete an Account) in cases of: (a) violation of these Terms, (b) provision of false information at registration, (c) actions harmful to the Service or other users.
4. If the agreement is terminated due to the User's fault, any prepaid, unused portion of the Subscription is non-refundable, unless applicable law provides otherwise.
5. If the Provider suspends the Service for reasons within its control, the User is entitled to a proportional refund of prepaid Subscription fees for the unused period.

§ 13.Changes to These Terms

1. The Provider reserves the right to modify these Terms for legitimate reasons (e.g. changes in law, changes to the scope of services).
2. You will be notified of planned changes at least 14 days in advance via the email address you registered with or via an in-app notification.
3. Continued use of the Service after the notice period expires constitutes acceptance of the updated Terms.
4. Non-Consumer Users may object to changes within 14 days of receiving notice, which will result in termination of the agreement effective on the date the revised Terms enter into force.

§ 14.Governing Law and Disputes

1. These Terms are governed by Polish law.
2. Any disputes arising from use of the Service shall be resolved by the courts with jurisdiction over the Provider's place of residence, subject to paragraph 3.
3. EU Consumers have the right to use out-of-court dispute resolution mechanisms: (a) mediation through the Trade Inspectorate, (b) permanent arbitration courts, (c) the ODR platform: ec.europa.eu/consumers/odr.
4. These provisions do not limit the right of Consumers to choose a court with jurisdiction under mandatory applicable law.

§ 15.Miscellaneous

1. These Terms enter into force on the date of their publication in the Service.
2. If any provision of these Terms is found to be invalid, the remaining provisions shall continue in full force and effect.
3. Matters not regulated by these Terms are governed by applicable Polish law, including the Civil Code, the Act on Electronic Services of 18 July 2002, the Consumer Rights Act of 30 May 2014, and GDPR.
